01Acceptance and parties

These Terms of Use are an agreement between you ("User") and Token Easily — Tokeneasily Desenvolvimento e Licenciamento de Softwares LTDA, registered under CNPJ 54.214.443/0001-04, headquartered at Avenida Brigadeiro Faria Lima, 1572, Sala 1022, Jardim Paulistano, São Paulo/SP, CEP 01451-917 ("Token Easily" or "Company"), the technology company that develops FINAUTON ("Platform").

Joining the waitlist involves privacy consent and permission to contact you about Early Access; it does not constitute full acceptance of these Terms. Acceptance of the Terms will be requested when creating or activating an account, according to the access made available. If you disagree with the Terms applicable to the account, do not proceed with its creation or activation.

For the waitlist, the record of date, time, Privacy Policy version and IP relates to privacy and contact consent, not acceptance of the account Terms.

Current phase. Public access is currently in the waitlist phase. Signing up does not create an operational account and does not enable financial features. Access will be released progressively and may depend on invitation, eligibility and availability.

Provisions of these Terms concerning accounts, wallets, Permissions, integrations, plans, automation and execution apply to a User once the corresponding access is released, and only to the features actually made available to that User.

02Definitions

  • Platform: the FINAUTON software, including web interfaces, APIs, integrations and associated services, in the Exchanges Environment and in the Web3 Environment.
  • Waitlist: a public registration through which a person expresses interest in following the release of access to the Platform. It is not an account, a financial services agreement or an authorization for any operation.
  • Exchanges Environment: Platform features that connect to centralized exchanges through API keys or equivalent credentials provided by the User, whose account remains held by the exchange itself.
  • Web3 Environment: Platform features that interact with blockchain networks and decentralized protocols from a wallet controlled by the User and, where available, from a Smart Account.
  • Agent: a software routine, with or without artificial intelligence, that analyzes information and may propose or execute actions within User-granted Permissions.
  • FIN: the Platform's intelligence layer, capable of processing context, data, strategies and instructions and coordinating actions within the available integrations and permissions.
  • Permission: a limited authorization granted by the User specifying what an Agent may do, including protocols, tokens, amounts and expiry.
  • Compatibility lists: the set of assets, protocols and contracts compatible with the Platform. Operations involving items outside these lists are refused.
  • Third-party Platform: an exchange, protocol, blockchain network, wallet or service operated by a third party where the User holds funds or executes operations.
  • API/Agent Wallet: a credential or auxiliary wallet authorized by the User on a Third-party Platform, with trading powers and without withdrawal powers, according to that platform's rules.
  • Smart Account: in the Web3 Environment, a programmable account mechanism that may allow authorizations limited by rules, scope, amounts, assets, protocols and/or validity, according to the integration made available.
  • Simulation Mode: simulated execution without submitting real orders or transactions and without moving funds.

03Nature of the service

The Platform is software and technology infrastructure for financial automation through Agents. It processes market data and public blockchain information, generates automated analysis and, when configured and authorized by the User, submits orders or prepares transactions on Third-party Platforms within Permissions and limits defined by the User.

The User alone decides whether to connect accounts or wallets, grant Permissions, enable automation and choose assets, protocols, leverage, amounts and risk limits. The User is also responsible for monitoring operations.

Exchanges Environment. The account remains held by the exchange chosen by the User. The Platform connects through the mechanisms of the available integration and executes only actions compatible with the permissions configured by the User and supported by that integration.

Web3 Environment. Where available, the FIN Smart Account works as a programmable on-chain layer, allowing policies, limits, assets, protocols, validity and other permissions to be defined for authorized actions.

Where technically possible, the Platform aims to simplify blockchain steps such as route selection, token approvals and network fee payment. This does not change the nature of operations, which remain subject to the rules of the networks and Third-party Platforms involved.

04Service scope and applicable requirements

FINAUTON is a technology platform. The Platform does not receive User deposits, does not request the recovery phrase or private key of the User's main wallet and does not operate its own exchange: funds remain in the User's wallet or in the Third-party Platform chosen by the User. Token Easily is not registered with the Brazilian Securities and Exchange Commission (CVM) to provide securities advisory or securities analysis services.

Configuring FIN or selecting strategies does not remove the following conditions:

  • Funds remain in the account or wallet used in the relevant environment, subject to the applicable permissions and authorization mechanism.
  • Describing features does not by itself determine their regulatory classification, which depends on the service actually made available and the applicable jurisdiction.
  • These Terms do not constitute a public offering of securities, collective investment contracts or tokens.
  • FINAUTON does not operate or control integrated Third-party Platforms and does not guarantee their smart contracts or liquidity.
  • Configurations and strategies do not promise, guarantee or project returns, profits or protection against losses.
  • Platform information does not replace legal, accounting or tax guidance relevant to the User.

Certain features may be subject to specific regulatory requirements depending on their nature, how they are executed and the applicable jurisdiction. In those cases, a feature may be limited, made conditional or offered only once the applicable requirements are met.

05Risk notice

Trading cryptoassets, derivatives and decentralized protocols involves substantial risk and may result in the total loss of the funds used. Do not trade with funds intended for essential expenses, emergency savings or borrowed funds. Profit is not guaranteed.

The User acknowledges understanding the following risks, among others:

  • Market risk: cryptoassets are extremely volatile; prices may change abruptly, including while the User is not monitoring them.
  • Leverage risk: leveraged operations amplify losses and can liquidate positions and margin within minutes.
  • Liquidity and slippage risk: execution may occur at a different price from the quote, within or outside the configured maximum slippage, or may fail due to insufficient liquidity in a protocol or pair.
  • Network fees (gas): on-chain transactions require variable network fees that may rise suddenly, be charged even when a transaction fails and make an operation economically unfavorable.
  • Smart contract risk: Platform and third-party contracts may contain bugs, vulnerabilities or unexpected behavior, or be attacked. Audits, where available, do not eliminate this risk.
  • Irreversibility: confirmed blockchain transactions generally cannot be undone or cancelled. This is distinct from a refund through a separate transaction, where applicable.
  • Third-party Platform risk: insolvency, outages, account blocks, attacks, contract pauses or changes to exchange or protocol rules, fees or APIs may prevent execution or closing positions.
  • Technical and automation risk: automation may fail, be delayed, execute partially or be interrupted by software, connectivity, data or RPC provider failures, price oracles or rate limits.
  • Model and interpretation risk: models are probabilistic and may produce incorrect analysis; natural-language requests may be interpreted differently from the User's intention. Review the operation summary before confirming.
  • Regulatory risk: changes in regulations may restrict, suspend or prohibit access to products, protocols, markets or features.

Past, simulated or hypothetical results do not guarantee future results. Simulation Mode does not fully reproduce real conditions, particularly slippage, latency, gas, liquidity depth and behavior during periods of stress.

06Jurisdiction restrictions

The offering, distribution and trading of cryptoassets and crypto derivatives, and the use of certain protocols, are restricted, conditional or prohibited in various countries, including Brazil in certain circumstances. Third-party Platforms may impose their own geographic restrictions, which prevail over access through the Platform.

User responsibility. The User must verify in advance and continuously whether access to the Platform, integrated Third-party Platforms and the features used, especially derivatives and leverage, is permitted in their location and jurisdiction of residence or nationality.

By using the Platform, the User declares that they:

  • are not a resident, national or person located in a jurisdiction where using the Platform, Third-party Platforms or the features used is prohibited;
  • are not on national or international sanctions lists and do not act on behalf of anyone on those lists;
  • will use the Platform in compliance with applicable laws and regulations, including anti-money laundering requirements and tax obligations.

No technical block. The Company currently does not apply geographic blocking to Platform access. The absence of a technical restriction is not authorization or a statement that use is lawful in any jurisdiction.

Using a VPN, proxy, false location, inaccurate information or any other means to circumvent legal, regulatory or technical restrictions of the Platform or Third-party Platforms is prohibited. A breach may result in account suspension or termination.

The Company may introduce jurisdiction checks, geographic blocking, documentation requirements, feature restrictions or service discontinuation in certain regions at any time.

07Eligibility and access

  • You must be at least 18 years old and have full legal capacity.
  • Information provided must be true, complete and kept up to date.
  • Accounts are personal and non-transferable; sharing credentials is prohibited.
  • Access is released progressively. In the current phase, only the waitlist is open to the public; joining it does not guarantee access, a release date or specific commercial terms.
  • Once access is released, sign-in may use email and password or a wallet message signature (EIP-4361 standard), depending on the environment. Signing an authentication message only proves wallet control; it does not authorize a transaction or movement of funds.
  • Losing access to a wallet that is the only access method may permanently prevent account access. The Company does not hold private keys or recovery phrases and cannot recover them.
  • The User is responsible for keeping credentials confidential and for activity on their account.

08Custody, wallets and permissions

The architecture currently made available does not provide for FINAUTON or Token Easily to receive deposits or to hold User funds in accounts owned by the Company. Funds remain in the wallet controlled by the User or in the Third-party Platform chosen by the User, under the rules of that environment.
  • No unrestricted withdrawal access. Requested Permissions do not include withdrawals or transfers to third parties. Users must create API keys without withdrawal permission; if that permission is detected, the Platform displays a warning, but the decision to retain the key remains with the User.
  • Authorization methods. Depending on the integration, Permissions may be granted through API keys or equivalent credentials in the Exchanges Environment, and through a Smart Account, token allowances or equivalent mechanisms in the Web3 Environment. Not every method is available in every integration; each applies only when made available on the Platform.
  • Token approvals. An on-chain authorization may remain available after an operation, depending on its amount and mechanism. It may be consumed, reduced, revoked or expire when the mechanism provides an expiry. Users should review and revoke authorizations that are no longer needed.
  • The Platform never requests the recovery phrase or private key of the User's main wallet.
  • Stored integration secrets, such as secret API keys, are encrypted and are not displayed again after registration.
  • The User may revoke Permissions at any time in their wallet, exchange or protocol, ending the Platform's ability to execute authorized actions in that integration.
  • The User must maintain sufficient balances, margin, gas and permissions. Operations may fail due to insufficient funds, Third-party Platform limits or asset restrictions.

09FIN configuration, strategies and automation

FIN is a configurable AI agent. The User may define instructions, strategies, parameters, assets, limits, permissions, environments, conditions, automation levels and other criteria made available by the Platform to guide its operation.

The Platform may also make available strategies, models, setups, templates, suggested parameters or predefined configurations that the User may select, adapt or use according to the features available.

FIN may relate these configurations to market data, positions, operational context, risk conditions, account permissions, strategy context and other information available to the feature to analyze conditions, structure actions and, when authorized by the corresponding mechanism, execute or submit operations in the applicable environment.

The degree of automation, confirmation mechanisms and execution capabilities vary according to the feature, environment, permissions granted and configuration selected by the User. Authorization of an automation may cover subsequent operations within the granted scope without a new manual confirmation for each operation, where the available flow permits.

Configurations, strategies and automations do not guarantee outcomes or eliminate the risks inherent in the markets and environments used. Describing these possibilities does not mean they are all available to the public or to every User.

Preparing a quote, intent or summary does not by itself submit an order or transaction. Execution depends on the authorizations and confirmations required by the available flow. Login, wallet connection and waitlist registration do not replace that authorization.

  • Agents only execute actions compatible with User-granted Permissions and the compatibility controls in force. Requests involving assets, protocols, amounts or actions outside that scope are refused, including requests through FIN.
  • Protocols, contracts and tokens are subject to compatibility lists maintained by the Company. Inclusion indicates technical compatibility only, not a recommendation, security guarantee or endorsement.
  • When confirmation is required, an operation is submitted only after the User approves the displayed summary, which may include the route, estimates, fees and maximum slippage. The User must review it before confirming.
  • FIN features, including natural-language instructions and connections with external agents, are released progressively and may have limited scope and behavior subject to adjustment.
  • Automation may fail, be delayed or be interrupted (see section 5). Users must monitor positions and must not rely solely on automation for risk management.

10Third-party platforms and protocols

The Platform connects to exchanges, decentralized protocols and other third-party services. Available connections are identified in the relevant workspace and may change over time.

  • Each Third-party Platform has its own terms, privacy policies, eligibility rules, fees and restrictions, which the User must read and accept directly with that third party.
  • The Company does not operate or control, and is not responsible for, the functioning, security, solvency or decisions of Third-party Platforms and their smart contracts.
  • Integrations may be changed, suspended or removed, including due to third-party decisions or technical or regulatory changes.
  • Names and trademarks belong to their respective owners. Mention does not indicate an association, partnership, sponsorship or endorsement unless expressly stated. Participation in public third-party programs, such as Builder programs, does not constitute partnership or endorsement.

11User obligations

The User agrees not to:

  • use the Platform for unlawful purposes, fraud, money laundering or market manipulation;
  • reverse engineer, decompile, copy, resell, sublicense or redistribute the Platform or its analysis without written authorization;
  • automate access without authorization, perform unauthorized scraping or overload infrastructure with excessive requests;
  • bypass usage limits, compatibility controls, policies and permissions, security controls, authentication or access restrictions;
  • represent themselves as a Company representative, partner or agent without authorization.

The User is responsible for tax obligations arising from operations, including calculating and paying taxes. The Platform does not provide tax advice or issue tax documents for operations on Third-party Platforms.

12Availability and developing features

The Platform is provided "as is", without guarantees of uninterrupted availability, freedom from errors or fitness for a specific purpose.

  • Features marked "In development", "Coming soon" or "Initial integration" may be unavailable, limited to certain users or subject to reduced limits.
  • Interruptions may occur for scheduled or emergency maintenance, updates and fixes, including preventive execution pauses.
  • Operation depends on Third-party Platforms, blockchains and node, data and infrastructure providers whose failures or changes are beyond the Company's control.
  • Displayed market data and balances may be delayed, inaccurate or temporarily unavailable.
  • The Company may change, suspend or discontinue features, seeking to provide advance notice where reasonable.

13Plans, fees and compensation

Technical availability, account conditions and region may limit access. Identifying an integration does not guarantee availability to every User.

Exchanges Environment. Features may be free, subscription-based or available through an approved partnership for a particular exchange. Where charged, pricing, frequency, payment method, renewal and any trial will be disclosed in the interface before purchase.

Exchange partnership access. Users may submit their account UID for manual review of an active exchange partner-program relationship. Approval waives the Platform subscription only for that exchange and the stated period. The UID must belong to the User and match the API-connected account. Submitting it does not establish or automatically verify affiliation. The Company may receive exchange commissions under the program, without adding its own fee inside the CEX order. Exchange fees still apply.

Approval may expire or be revoked after a relationship review, with the reason available in the panel. Without an active subscription or valid partnership, new entries are blocked; closing positions and protections remain available. Approval does not accelerate future integrations or override technical, regional or access restrictions. A subscription remains an alternative without a partnership requirement.

Web3 Environment. The planned model for the Web3 Environment does not depend on traditional subscriptions. Platform compensation may use integration-native mechanisms, such as Third-party Builder programs, and applicable on-chain mechanisms, such as a platform fee included in an operation. Platform fees are disclosed in the operation summary before confirmation.

Network fees, Third-party Platform fees and liquidity spreads are independent of the Platform and paid by the User unless expressly stated otherwise.

Some integrations may allow network fees to be paid, sponsored or charged through mechanisms provided by the Platform or by third parties. Applicable conditions and costs will be presented before the operation when available.

Consumers have the right of withdrawal under article 49 of Brazil's Consumer Protection Code within 7 days of a subscription purchase made outside commercial premises. Cancellation stops future charges. Market losses, network fees and third-party fees are not refunded.

Subscription payments in cryptoassets. When paying a subscription by transferring a stablecoin from a User-controlled wallet to the invoiced address, the User acknowledges that:

  • blockchain transactions are generally irreversible: a transaction already confirmed on the network cannot be cancelled or reversed. This technical limitation does not prevent a refund through a separate transaction, where applicable, in accordance with the rights and conditions set out in these Terms and applicable law;
  • sending funds to an incorrect address, on a different network or in a different token may result in permanent loss;
  • the User pays the network fee separately from the subscription amount;
  • the subscription period is credited only after on-chain verification and the minimum number of network confirmations;
  • underpayments do not activate the period, and overpayments do not generate automatic credit;
  • the invoice expires and is denominated in a dollar-pegged stablecoin, without conversion of a volatile asset.

Cryptoassets are not debited automatically: each renewal requires a new transaction signed by the User.

14Limitation of liability

To the fullest extent permitted by applicable law, the Company, its owners, officers, employees and service providers are not liable for:

  • losses, damages or lost profits arising from User investment decisions, even when based on Platform analysis;
  • position liquidations, margin calls, slippage, network fees or partial or total loss of capital;
  • failures, attacks, pauses, changes or errors of Third-party Platforms, smart contracts, blockchains or data and infrastructure providers;
  • automation failures, delays or interruptions caused by factors beyond the Company's reasonable control, unforeseeable events or force majeure;
  • Permissions, token approvals or keys granted beyond what is needed or retained after they are no longer needed;
  • unauthorized access resulting from User negligence in protecting credentials, wallets or devices.

To the extent that applicable law permits a limitation of liability, any established liability is limited to the amount actually paid by the User to the Company in the 12 months preceding the event. Where applicable law does not permit that limitation, no contractual cap incompatible with that law applies, particularly in consumer relationships. Nothing in these Terms excludes liability for intentional misconduct or waives rights that cannot lawfully be waived.

15Intellectual property

All Platform content, including source code, Company-developed smart contracts, models, algorithms, the FINAUTON and Token Easily brands, visual identity, texts and documentation, belongs to Token Easily or its licensors and is protected by intellectual property law, subject to the licenses of open-source components used.

The User receives a personal, limited, revocable, non-exclusive and non-transferable license to use the Platform during this agreement solely for the purposes described here.

16Suspension and termination

The Company may suspend or terminate access for breaches of these Terms, reasonable suspicion of fraud, unlawful use, risks to Platform or user security, or legal or regulatory orders.

Users may close their accounts at any time. Closure does not affect existing obligations or positions, balances or approvals on Third-party Platforms, which remain the User's responsibility. Revoke API keys, Agent Wallets and token approvals before closing the account.

17Changes to these Terms

These Terms may change at any time. Material changes will be communicated by email or a prominent Platform notice with reasonable advance notice. The current version is the one published on this page with its version number and date.

Continued use after changes take effect constitutes acceptance. Users who disagree must close their account before the effective date.

18Governing law and venue

These Terms are governed by the laws of the Federative Republic of Brazil. Disputes are subject to the courts of the Company's registered office, without prejudice to a consumer's right to bring proceedings in their place of residence under article 101(I) of Brazil's Consumer Protection Code.

If any provision is invalid, the remaining provisions remain in full effect.
